Welcome to Yacho. These Terms and Conditions ("Terms") govern your access to and use of the Yacho platform, website, and related services (collectively, the "Service"). Yacho is a product operated by Social Jazz, Inc. ("Social Jazz," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Yacho is a software-as-a-service (SaaS) marketing automation platform, operated by Social Jazz, Inc., that provides AI-powered marketing plan generation, content creation, campaign management, and related tools. The Service may include free and paid tiers with varying features and usage limits.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal. Refunds are handled in accordance with our refund policy. All fees are exclusive of taxes, which you are responsible for paying.
The Service, including its original content, features, functionality, software, and design, is owned by Social Jazz, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
You retain ownership of content you create, upload, or input into the Service ("User Content"). By submitting User Content, you grant Social Jazz, Inc. a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing and improving the Service. You represent that you have all necessary rights to your User Content and that it does not infringe any third-party rights.
The Service uses artificial intelligence to generate marketing plans, copy, images, and other content. AI-generated outputs are provided "as is" and may not always be accurate, complete, or suitable for your specific needs. You are solely responsible for reviewing, editing, and approving all AI-generated content before use. Social Jazz, Inc. does not guarantee the accuracy, originality, or legal compliance of AI-generated outputs.
You agree not to use the Service to:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL JAZZ, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SOCIAL JAZZ, INC. IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Social Jazz, Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.
We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOCIAL JAZZ, INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
